End User License Agreement & Terms of Sale

This End User License Agreement and Terms of Sale (the “Agreement”) is a legal agreement between you and AlloyX MFG, LLC (“AlloyX MFG,” “we,” “us”), a North Carolina limited liability company, and governs your use of the website at alloyxmfg.com (the “Site”) and your purchase of products and services through it. By using the Site, creating an account, or placing an order, you accept this Agreement. If you do not agree, do not use the Site.

1. Accounts

• You may browse the Site without an account, but some features (order history, saved designs) require one. You may register directly or sign in with Google or Apple.
• You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for activity under your account.
• You must be at least 18 years old (or the age of majority where you live) to place an order.
• We may suspend or close accounts used in violation of this Agreement or for fraudulent activity.

2. Products, orders, and acceptance

• We sell physical products (including custom-manufactured parts and signs) and digital products through the Site. Product descriptions, images, and specifications are provided in good faith but minor variations — finish, tooling marks, layer lines, and material characteristics inherent to manufacturing — are normal and not defects.
• Your order is an offer to purchase. We accept it when we send an order confirmation or begin production, whichever comes first. We may refuse or cancel any order — including for pricing or listing errors, suspected fraud, or inability to manufacture — and if we cancel after payment, we will refund you in full.
• For custom work quoted through the Site, the quote and this Agreement together form the terms of the order. Quotes expire as stated on their face.

3. Pricing, payment, and tax

• All prices are in U.S. dollars. Prices and shipping rates are those calculated at checkout.
• Payment is processed by Stripe, our payment processor. We do not receive or store your full card number. By submitting payment you authorize the charge for your order total, including shipping, any optional protection, and tax.
• Sales tax is calculated and collected where required, based on your delivery address.

4. Custom products and content you supply

• When you upload a design, drawing, model, artwork, or text (“Customer Content”), you keep ownership of it. You grant us a non-exclusive license to store, reproduce, and use it solely to quote, manufacture, fulfill, and support your order.
• You represent that you own or are licensed to use your Customer Content and that manufacturing it does not infringe any patent, trademark, copyright, or other right, and is not unlawful. You will indemnify us against claims arising from Customer Content you supply.
• We may decline to manufacture anything we reasonably believe is infringing, unlawful, or unsafe.
• We manufacture to the specification you approve. You are responsible for the fitness of your own designs — verifying dimensions, tolerances, material choice, and suitability for your application.

5. Digital product license

• Digital products (files, models, designs, and software delivered electronically) are licensed, not sold. On payment, we grant you a non-exclusive, non-transferable, perpetual license to use the digital product for your own personal or internal business purposes.
• You may not resell, redistribute, sublicense, or publicly post digital products, or remove proprietary notices from them. Unless the product page states otherwise, you may produce physical items from purchased digital files for your own use but not for mass production or resale of the files themselves.
• Because digital products cannot be returned, all sales of digital products are final once delivered, except where a file is defective.

6. Shipping, risk of loss, and delivery

• We ship via commercial carriers. Title and risk of loss pass to you when we deliver the shipment to the carrier, unless you purchased optional Shipping Protection, whose terms govern loss and damage in transit.
• Delivery dates are estimates. Production and carrier delays are not grounds for cancellation of custom work already in production.
• You are responsible for providing a complete, correct delivery address.

7. Returns and refunds

• Custom-manufactured items (parts, signs, and anything made to your specification or design) are made for you and cannot be restocked; they are returnable only if they materially fail to match the approved specification or arrive defective.
• Stock items may be returned unused and in original condition within 30 days of delivery; return shipping is at your cost unless the item arrived defective or we shipped in error.
• Report defects or discrepancies within 7 calendar days of delivery from your order page or by email, with photos. For verified issues we will, at our option, remake, repair, or refund the affected item — this is your exclusive remedy.
• Refunds are issued to the original payment method.

8. Intellectual property

The Site and everything we create — including site content, product designs we originate, tooling, fixtures, and processes — remain our property or that of our licensors. Except for the licenses expressly granted here, no rights are transferred to you. Purchasing a manufactured part does not transfer rights in our manufacturing processes or in designs we own.

9. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or to order items you are not legally permitted to possess;
• interfere with the Site’s operation, probe or test its security, or access it by automated means except public search indexing;
• misrepresent your identity or payment authority, or place orders with stolen payment credentials;
• upload content containing malware or content that is infringing, defamatory, or unlawful.

10. Disclaimer of warranties

Except as expressly stated in this Agreement, the Site and all products are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that parts manufactured from your designs are fit for your intended application.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to any order is limited to the amount you paid for that order, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You will defend and indemnify AlloyX MFG, LLC and its members, officers, and employees against claims, damages, and reasonable costs arising from your Customer Content, your violation of this Agreement, or your misuse of products purchased through the Site.

13. Governing law and disputes

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any dispute shall be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction. Either party may seek relief in small-claims court for qualifying disputes.

14. Changes and general terms

• We may update this Agreement prospectively by posting a revised version with a new “Last updated” date. The version in effect when you place an order governs that order.
• If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
• This Agreement, together with our Privacy Policy and any product-specific terms (such as Shipping Protection), is the entire agreement between you and us regarding the Site.
• You may not assign this Agreement; we may assign it in connection with a sale of our business.
